Terms of Service

Please read these Terms carefully before using Replenishly. By installing the App and/or approving a subscription, you agree to be bound by these Terms.

1. Agreement and parties

These Terms of Service ("Terms") govern your access to and use of the Replenishly Shopify application ("the App") operated by Malik Systems Ltd t/a Replenishly, a company incorporated in England and Wales (Company No. 17265815) ("we", "us", "our").

"You" or "Merchant" means the individual or business entity that installs and uses the App in connection with a Shopify store.

By installing the App via the Shopify App Store, you confirm you have the authority to enter into this agreement on behalf of the relevant business entity and that you have read, understood, and agreed to these Terms and our Privacy Policy.

2. The service

Replenishly is a purchase order automation tool for Shopify merchants. The App:

  • Monitors Shopify inventory levels via webhook
  • Generates Excel purchase order files based on merchant-configured factory templates
  • Dispatches purchase orders by email to configured suppliers
  • Tracks the PO lifecycle from draft through shipping to inventory receipt
  • Adjusts Shopify inventory quantities upon merchant-confirmed receipt

We reserve the right to modify, suspend, or discontinue any feature of the App at any time with reasonable notice. Significant changes will be communicated by email to the address associated with your Shopify store.

3. Subscription and billing

3.1 Plan and price

Access to Replenishly requires a Replenishly Pro subscription at $9.99 USD per month (inclusive of VAT where applicable). The price may be adjusted in the future; you will be given at least 30 days' notice before any price change takes effect.

3.2 Free trial

New subscribers receive a 14-day free trial. No charge is made during the trial period. If you cancel before the end of the trial, you will not be charged.

3.3 Billing engine

Billing is processed exclusively through Shopify's Recurring Application Charges API. Your subscription charge appears on your Shopify invoice. We do not hold or process payment card details directly. Shopify's billing terms apply to the payment transaction.

3.4 Cancellation

You may cancel your subscription at any time from your Shopify admin (Apps → Manage apps → Replenishly → Cancel subscription). Access to the App continues until the end of the current billing period; no partial refunds are issued for unused days.

3.5 Billing gate

Certain features, including PO draft creation and automatic webhook-triggered POs, require an active subscription. If your subscription lapses or is cancelled, these features are disabled until a new subscription is approved.

4. Acceptable use

You agree not to:

  • Use the App for any unlawful purpose or in violation of these Terms
  • Attempt to reverse-engineer, decompile, or extract source code from the App
  • Use the App to transmit malicious code, spam, or fraudulent content
  • Resell or sub-license access to the App to third parties
  • Interfere with or disrupt the App's infrastructure or Shopify's systems

5. Your responsibilities

5.1 Configuration accuracy

You are solely responsible for configuring the App correctly, including reorder thresholds, factory column mappings, supplier email addresses, and MOQ settings. Replenishly generates purchase orders based entirely on the configuration you provide. We are not responsible for incorrect, incomplete, or duplicated POs resulting from misconfiguration.

5.2 Review before dispatch

You are responsible for reviewing PO drafts before approving and dispatching them to suppliers. Replenishly provides a review interface for this purpose. Automatic dispatch features (webhook-triggered POs, email-on-approval) are opt-in; you control whether they are enabled.

5.3 Receiving verification

When committing received inventory through the App, you are responsible for verifying quantities before confirming. Inventory adjustments made via the App's receiving feature are applied directly to your Shopify inventory and may not be automatically reversible.

5.4 Supplier relationships

Replenishly facilitates the creation and dispatch of purchase orders. We are not a party to any commercial agreement between you and your suppliers. You are responsible for your supplier relationships, purchase agreements, and any disputes arising from orders placed via the App.

6. Limitation of liability

6.1 To the maximum extent permitted by applicable law, Malik Systems Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profit or revenue arising from stock-outs or overstock caused by incorrect PO quantities
  • Commercial or shipping losses arising from errors in factory column mappings or SKU configurations
  • Losses arising from incorrect inventory adjustments resulting from errors in received quantity inputs
  • Losses arising from failed or delayed email delivery to suppliers
  • Losses arising from Shopify API unavailability, rate limiting, or webhook delivery failures

6.2 Our total aggregate liability to you under or in connection with these Terms shall not exceed the total subscription fees paid by you to us in the 3 months immediately preceding the event giving rise to the claim.

6.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law under English law.

7. Intellectual property

All intellectual property rights in the App, including its software, design, and content, are owned by or licensed to Malik Systems Ltd. These Terms do not transfer any IP rights to you. You are granted a non-exclusive, non-transferable licence to use the App for the duration of your subscription, subject to these Terms.

Your merchant data (factory configurations, PO content, settings) remains your property. We process it only as necessary to provide the service.

8. Availability and support

We aim to maintain high availability but do not guarantee uninterrupted access. The App is provided "as is" without warranties of merchantability or fitness for a particular purpose, to the extent permitted by law.

Support is available via email at support@replenishly.co.uk. We aim to respond to support queries within 2 business days.

9. Termination

Either party may terminate this agreement at any time. We reserve the right to suspend or terminate your access to the App immediately if you breach these Terms, engage in fraudulent activity, or if required to do so by law or by Shopify's platform requirements.

On termination, your data will be retained and deleted in accordance with our Privacy Policy.

10. Shopify platform terms

Your use of Replenishly is also subject to Shopify's Partner Program Agreement and API Terms of Service. In the event of conflict between these Terms and Shopify's terms as they relate to Shopify platform requirements, Shopify's terms prevail.

11. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to these Terms

We may update these Terms from time to time. We will give at least 14 days' notice of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of the App after the effective date of changes constitutes acceptance.
